出资责任是指出资瑕疵股东基于其股东地位，对公司承担一定给付的出资义务，在其不履行出资义务时，即应当向公司承担的民事责任。
公司法一般将股东的出资责任分为出资违约责任和资本充实责任。
1、出资违约责任
（1）追缴出资。即违反出资义务但仍有履行可能的股东要求其继续发行出资义务。
（2）损害赔偿。股东的出资义务是一种债的义务，股东违反出资义务给公司和其他股东造成损失的，应承担损害赔偿责任。
2、资本充实责任
可具体分为：
（1）认购担保责任。
（2）缴纳担保责任。缴纳担保责任亦称出资担保责任，即股东虽认购股份但款缴纳股款或交付非现金出资标的，应由发起人承担连带缴纳股款或未交付非现金出资财产价额的义务。
（3）差额填补责任。在公司成立时，如果出资的非货币财产价额显著低于章程所定价额时，发起人应对不足的差额部分承担连带填补责任。履行差额填补责任的发起人可向出资不实的股东行使求偿权。
