本文结合经理股票期权的理论和实践,在肯定经理股票期权制度价值的基础上,着重探讨了经理股票期权制度的内在缺陷及改进途径,指出经理股票期权的实际激励效果与理论存在差距的根本在于制度设计本身存在着三大缺陷:业绩评价及激励股价化,即单纯以市场股价作为经营者及公司业绩的考核指标,并由股票的市场价格决定经营者收益的有无和多寡,使激励因受到系统因素的影响而发生扭曲;风险与收益不对称,即对经营者只有“奖”而没有“罚”,只有利益共享,没有风险共担;激励无“度”,即缺乏客观、公正、合理的激励标准及科学合理的业绩评价指标,导致股票期权的授予条件过于宽松,授予数量过多,使经理股票期权沦为一种加剧企业收入分配不公平的工具。
