| 清算 liquidation 企业、公司等法人单位变更或终止时，依法清理其债权、债务，分配剩余财产，以办理变更或注销登记的法律程序。 企业、公司等法人单位可以因以下原因进行清算：分立或合并；经股东协议或经营管理机构决议终止，经营期限届满；违反法令被责令关闭；政府主管部门决定关闭；被依法宣告破产等。清算程序主要包括：①确定清算人。清算人是处理清算事务的负责人。清算人可以由有关政府部门或法院指定；可以由经营管理人员如董事、厂长、经理担任，可以由单位章程规定的人担任；还可以由权力或管理机构董事会、股东会选任。②清算人处理清算事务。清算事务一般包括：结束业务；全面清算财产、债权、债务，编制资产负债表和财产目录，制定清算方案，发出公告等通知，要求债务人按规定履行义务，召开债权人会议，依据清算方案，清偿债务；依法分配剩余财产。清算程序完毕后，被清算单位即可向有关工商行政管理部门办理变更或注销登记，并依法处理账簿及有关文件的保存事宜。 |
