| 不可抗力 force majeure 当事人自身能力不能抗拒也无法预防的客观情况或事故。不可抗力可以是自然原因酿成的，也可以是人为的、社会因素引起的。前者如地震、水灾、旱灾等，后者如战争、政府禁令、罢工等。不可抗力所造成的是一种法律事实。当不可抗力事故发生后，可能会导致原有经济法律关系的变更、消灭，如必须变更或解除经济合同；也可能导致新的经济法律关系的产生，如财产投保人在遇到因不可抗力所受到的在保险范围内的财产损失时 ，与保险公司之间产生出赔偿关系。当不可抗力事故发生后，遭遇事故一方应采取一切措施，使损失减少到最低限度。在订立买卖合同时，一般都订有不可抗力条款，其内容包括：不可抗力内容；遭到不可抗力事故的一方 ，向另一方提出事故报告和证明文件的期限和方式；遭遇不可抗力事故一方的责任范围。如因不可抗力使合同无法履行，则应解除合同。如不可抗力只是暂时阻碍合同履行，则一般采取延期履行合同的方式。凡发生不可抗力事故，当事方已尽力采取补救措施但仍未能避免损失的情况下，可不负赔偿责任。 |
