在美国公司法中，董事可分为内部董事与外部董事。在采取两分法的情况下，外部董事与独立董事有时互换使用。如果采取三分法，董事可以分为内部董事、有关联关系的外部董事与无关联关系的外部董事。其中，只有无关联关系的外部董事才可被称为独立董事。其中，内部董事指兼任公司雇员的董事；有关联关系的外部董事指与公司存在实质性利害关系的外部董事。独立董事则指不在上市公司担任董事之外的其他职务，并与公司及其大股东之间不存在可能妨碍其独立作出客观判断的利害关系（尤其是直接或者间接的财产利益关系）的董事。由于独立董事不兼任公司的经营管理人员，独立董事属于外部董事的范畴。又由于独立董事不公司存在实质性利害关系，独立董事又不同于其他外部董事，尤其是股东代表董事。
