反垄断法中%26quot;垄断%26quot;的原意是独占,即一个市场上只有一个经营者。反垄断法,顾名思义就是反对垄断和保护竞争的法律制度。它是市场经济国家基本的法律制度,号称%26quot;经济宪法%26quot;。
1879年美孚石油公司即美国石油业第一个托拉斯的建立,标志着美国历史上第一次企业兼并浪潮的开始。过度的经济集中引发美国在19世纪80年代爆发了抵制托拉斯的大规模群众运动,这种反垄断思潮导致1890年《谢尔曼法》(Sherman Act)的诞生。谢尔曼法是世界上最早的反垄断法,从而也被称为世界各国反垄断法之母。
反垄断法禁止的%26quot;垄断行为%26quot;:
(一)禁止卡特尔(限制竞争性的协议),包括:价格卡特尔、数量卡特尔、地域卡特尔
豁免：统一产品规格或者型号的协议,适用统一的生产、交货以及支付条件的协议,中小企业间的合作协议,以及统一出口价格的协议，有利于降低企业的生产成本,改善产品质量,提高企业的生产率,它们一般被视为合理的限制,可以得到反垄断法的豁免。
(二)控制企业合并
控制的目的不是限制企业的绝对规模,而是保证市场上有竞争者。主要法律制度是合并的申报和审批制度,即达到一定规模的企业合并需要向反垄断法的主管机关进行申报。
(三)禁止滥用市场支配地位
反垄断法不反对合法的垄断（如国家专营许可、公用企业、知识产权优势）,但因为合法的垄断者同样不受竞争的制约,它们就非常可能会滥用其市场优势地位,损害市场竞争,损害消费者的利益。1997年美国司法部指控微软公司违反美国反垄断法,重要案例。
(四)禁止行政垄断
政府限制竞争是对竞争损害最甚的行为。在我国当前主要表现为行业垄断和地方保护主义。
