公司设立是指公司发起人为促成公司成立并取得法人资格，依照法律规定的条件和程序所必须完成的一系列法律行为的总和。
依据《公司法》的规定，我国公司分为有限责任公司和股份有限公司两种类型。
设立股份有限公司，应当具备下列条件：
１、发起人符合法定人数；
２、发起人认缴和社会公开募集的股本达到法定资本最低限额；
３、股份发行、筹办事项符合法律规定；
４、发起人制订公司章程，并经创立大会通过；
５、有公司名称，建立符合股份有限公司要求的组织机构；
６、有固定的生产经营场所和必要的生产经营条件。
设立有限责任公司，应当具备下列条件：
１、股东符合法定人数。除国有独资有限责任公司以外，应由两个以上50个以下股东共同出资设立。
２、股东出资达到法定资本最低限额。
（１）以生产经营为主的公司或以商品批发为主的公司为50万元；
（２）以商业零售为主的公司为30万元；
（３）科技开发、咨询、服务性公司为10万元。
