保留款保证
【保留款保证】亦称“预留金保证”或“留滞金保证”。对合同价款中尾欠部分款项的提前支取行为所作出的归还承诺担保。在工程项目及大型机电产品、成套设备的出口等合约中规定，合同价款中一定比例(通常为5-10%)金额，将由业主方或买方在每期进度款的支付中予以扣留作为保留款，只有在项目全部建成的一定时期(通常为项目维修期完结)后，或在所提供的成套设备运转一定时间并能保证所生产的产品符合合约的规定后，才能支付给承包方或供货方。保留款实际上是业主或买方以现金留滞形式对承包方或供货方在项目或合同维修期内的维修责任所采取的一种制约手段。为早日获得这部分资金，以解决项目施工中的资金不足，或为争取减少部分资金占压所带来的无形利息损失，承包方或卖方常要求其往来银行或保险公司向业主或买方出具保留款保证，凭以顶替回业主或买方已扣留的保留款，或避免这部分资金被留滞，并凭此承担起对施工项目或设备维修义务的保证责任。保留款保证属于维修保证中的一个类别。
