笔者对“背信”之含义进行了研究,一方面,笔者查阅了一些国家的刑事法律,进行比较之后发现许多国家和地区的刑法典都规定了一般背信罪,我国刑法却没有一般背信罪的规定,仅对一些特别背信罪做了规定,例如非法经营同类营业罪、为亲友非法牟利罪、背信损害上市公司利益罪、背信运用受托财产罪等等,这不能不说是一个缺憾。

《刑法修正案(七)》将"老鼠仓"类犯罪与内幕交易罪加以区分是没有根据的,"老鼠仓"现象本来应属于内幕交易罪的范畴,因此,当下应对"老鼠仓"问题的最佳法律对策应为增设普通背信罪,以规制"老鼠仓"及类似违法现象。
