股票上市审批管理制企业公开发行的股票，在证券交易市场挂牌买卖称为股票上市，股票上市必须由发行人提出申请，经人民银行审查批准、中国人民银行是国家授权主管金融市场的行政机关，负责股票的发行的审批和管理股票市场。中国人民银行对股票上市实行集中管理，分级审批管理制度。中国人民银行统一规划和管理股票市场的发展，制定股票上市的法规和明确各级人民银行的审批管理权限的制度，分级管理是指在全国范围内进行的股票发行，股份制企业的股票公开发行，以及超过规定限额的股票发行，由中国人民银行总行审批。
一般发行公司的股票发行申请和股票发行上市先由中国人民银行一级分行审核，再报总行审批、新组建的股份制企业须经营三年以上，原有企业改为股份企业后须经营一年以上，并有稳定盈利的才有资格申请股票上市。
