1994年7月1日生效的《商业银行法》和1999年7月1日生效的《证券法》确立了中国现阶段银行、证券、保险实行分业经营、分业管理的金融体制。其中分业经营是指银行、证券和保险等金融业不得相互间持有股份，参与经营。分业管理是指银行、证券、保险业的管理机构相对独立，各司其职，各负其责。
