Each of Party A and Party B shall have the right to nominate2 director candidates.

Prices of the products shall be mutually agreed by the parties herein and the agreed pricelist is annexed hereto as Appendix “A”.

Commission: No commission shall be paid for direct transaction between Party A and Party B under this Agreement.

This Agreement supersedes any and all prior agreements, written or oral, between Party A and Party B, and constitutes the complete agreement between the parties.

Party A should reply to Party B within1 working day after receiving the order plan from Party B.

Party A agrees to buy from Party B and Party B agrees to sell to Party A Assembly Lines for Color TV Sets
甲方同意从乙方购买、乙方同意向甲方出售彩电装配线

Where Party B is required to work overtime, Party A shall accordingly arrange paid leave or overtime pay for Party B in accordance with Party A's relevant regulations.
如果乙方加班，甲方给予相应时间的调休或依法和公司的相关规章制度向乙方支付加班工资。

Party A could adjust Party B's working hours, including adjusting Party B's duty time， lunch time and rest time, due to the needs of production and operation.
根据业务需要，甲方可适当调整乙方工作时间，包括更改乙方的上下班时间和午餐休息时间。

"The guarantee bank of Party A is The Bank of China, Guangzhou Branch, while that of Party B is Sanwa Bank."
甲方的保证银行是中国银行广州分行,乙方的保证银行是三和银行。

The price and payment for each individual transaction under this agreement shall be fixed through negotiations between Party A and Party B.

2 Lessee is late in releasing the rental payment by more than 10 calendar days.

Party B should take the responsibilities and obligations in assisting Party A, and at the request of Party, sparing no effort to ensure the output of 100 thousand garments each month.
乙方有责任和义务协助,支持甲方业务并根据甲方需求尽量确保每月10万件(条)服装生产业务。

“Supplier” as referred to herein means such party to this Contract as may receive written orders from Party B for Amore Products, including Party A, Party C as well as Party D.
发货发：系指收到乙方书面订购爱茉莉产品订单的本合同当事方，包括甲方、丙方和丁方。
