As a system to restrict the controlling shareholders’voting rights in certain circumstances in order to protect the rights of the minority sareholders,excluding of the voting right of the shareholder is defined as follow: a shareholder who have had voting right is banned to vote because of some given conditons about special interested relationship.
股东表决权排除是指原本具有表决权的股东,因为待决事项与其具有特别利害关系而被排除表决权,且该类股东的表决权不应计入出席股东大会有表决权股份的总数。
