To protect the benefit of donee, Contract Law regulates donation contract as promissory contract so as to enforce the restriction on donor, meanwhile the law endows the donor with free rescission right and antagonism right for the merit of equity and justice.

The present paper discusses the legal nature of organ donation act,analyzes the key component that will bring the act into effect,which is that the donator should be a person with full capacity for civil conduct whose intension expressed is voluntary and genuine and who does not violate law or public interests.
