泛指中国古代的逻辑学说。在中国先秦时代，诸子各家的逻辑思想大都是围绕名实问题和正名问题展开的。孔子最早提出正名思想，但他主要把正名看作是治理国家的头等大事和根本任务。到了公孙龙和后期墨家才真正从逻辑的角度提出正名的原则。荀子集先秦正名思想之大成，总结了"制名之枢要"，形成比较成熟的正名逻辑理论，从而使正名思想成了中国古代逻辑思想的重点和核心。
名学也曾作为西方逻辑的中译名之一。中国最早使用"名学"一词指称西方逻辑，是在1824年出版的《名学类通》的译著中。影响较大的是严复于1903年翻译的《穆勒名学》和1908年翻译的《名学浅说》。不少中国学者还以名学作为逻辑或中国逻辑史著作的书名,如:杨荫杭著的《名学教科书》(1903)，屠孝实著的《名学纲要》(1925)，胡适著的《先秦名学史》(1922)和虞愚著的《中国名学》(1936)等。
