Current State and Governance Behavior of Ethnic Middle-size and Small Business in Southeast Asia;

This paper attempts to discuss the mechanism of incentive and restriction for managers in overseas Chinese enterprises by combining Chinese culture with contemporary economics theories.

The orientation of the enterprises cultural change is the transformation from entrepreneurial culture to corporate culture, and the keys to the transformation in Chinese enterprises are the learning capability and the innovative capability.

They are the increase of the strength of Chinese enterprises,the expansion of the ethnic Chinese to overseas for further development, the more competitions from abroad, the change of the ethnic Chinese enterprises to New Economy and finally,the opening of new business by more and more.

The author argues that the financial model of the Chinese enterprises in the Southeast Asian countries is an indirect one that depends heavily on the loan from commercial banks and human relations.
