董事会秘书——
董事会秘书是对外负责公司信息披露事宜，对内负责筹备董事会会议和股东大会，并负责会议的记录和会议文件、记录的保管等事宜的公司高级管理人员，董事会秘书对董事会负责。董事会秘书由董事长提名，经董事会聘任可解聘。公司董事或者其他高级管理人员可以兼任公司董事会秘书，但如某一行为需由董事、董事会秘书分别作出时，则该兼任董事及公司董事会秘书的人不得以双重身份作出。公司聘请的会计师事务所的注册会计师和律师事务所的律师不得兼任公司董事会秘书。
