This paper regards listed company under the competitive market structure as the research object,studies the relationship between the characters of board of directors and firm achi.
鉴于前人大多研究董事会某一特征与业绩的关系,而且没有考虑市场结构和股权结构对二者关系的影响,本文以竞争性市场结构下的上市公司为对象,综合研究董事会规模、结构、会议频率、激励四方面特征对企业业绩的影响,并考虑不同股权结构下董事会特征和公司业绩的差异,及董事会特征与公司业绩关系的差异,由此给出相应的对策建议。
