Securitization of movie and television work means that the copyright of movie and television work contained the future profit or other commercial income is transferred to SPV by the founder-members.
影视作品版权证券化是指,发起人将缺乏流动性但能够产生可预期现金流收入的影视作品版权的未来收益权或者其他基于该版权的商业化收益权,转移给一个特殊目的载体(SPV),该特殊目的载体通过一定的结构安排,对资产中的风险和收益要素进行分离和重组,而后由该载体发行基于该收益权而产生的现金流为支撑的证券。

Based on characteristics of clandestine dealings and the deficiency of legislation of securities in our country,and considering the legislation of clandestine dealings in other developed countries,this paper proposes some constructive suggestions with the aim of enhancing the legislation of securities in China and punishing clandestine dealings.
证券市场上的内幕交易行为,是各种证券欺诈行为中社会危害性最严重的一种,本文针对我国内幕交易行为的特点和证券立法的不足,联系国外发达国家关于内幕交易行为的立法状况,提出了加强和完善我国证券立法、严厉打击内幕交易行为的建设性意见:如扩大内幕交易主体的范围;完善上市公司的信息披露制度;完善上市公司收购和关联交易中的内幕交易规制;建立内幕交易的民事赔偿责任制度等。
