本文主要研究证券侵权民事责任,从我国证券侵权民事责任的现状入手,阐述充分发挥证券侵权民事责任的内在功能、完善我国证券侵权民事责任制度的意义,进一步对证券侵权民事责任的构成要件进行分析,包括侵权行为的类型、因果关系、归责原则、损害事实等方面进行分析,从理论和实践上为投资者维护自己的利益提出一些观点。

【侵权责任】民事主体违反法定义务，侵害他人民事权利(包括财产权和人身权)时，依法应承担的民事法律后果。分为过失(疏忽)的侵权行为和严格责任的侵权行为。有些西方国家的法津，还有绝对责任的侵权行为。侵权的民事责任不是当事人约定的，不以合同内容为约束，而是违反法定义务或侵犯他人法定权利的行为的法律后果。侵权的民事责任，广泛适用过错责任原则，同时还使用无过错责任(严格责任)原则，如缺陷产品造成他人伤害时制造者应承担责任等。
