非创建的直接投资方式有兼并、合并和接管等方式。①兼并。指一家公司对另外一家公司的接管。在这一过程中，接管公司保存了自己的实体地位，另外一家公司则不再作为实体存在，兼并一般可通过购进其他公司的资产或股票完成，也可通过发行本公司股票来替换其他公司股票完成。后一种做法称为法定兼并。②合并。是两家或两家以上的独立公司在共同意愿的基础上联合组成一家新公司。合并的一般做法是发行一种新股票，组成一家新公司，用新公司的股票替换原公司的股票。合并完成后，原公司便不复存在，存在的只是这家新的、扩大的公司实体。原公司的所有者共同拥有和经营新公司。企业兼并和企业合并有着本质区别，前者是一家公司把另外一家公司纳入本公司，形成一个扩大的实体，后者则是双方处于对等地位，双方原有的公司消失，组成一个新的大公司。因此，有无原主体的存在是区别兼并和合并的基本标志。但两者都是在集中控制下进行联合经营。③接管。是一家企业通过收购和兼并的方式占有和控制另外一家企业的资产权和经营权。在接管过程中，接管公司始终处于主导性的控制权地位。在企业兼并中，如果发起的接管公司不能保持这种控制权地位，则可能会出现反向接管，即被兼并的公司在这一过程中取得了控制权的主导地位。如果一家上市公司要兼并一家规模相当的非上市公司，则可能发生反向接管。
