faren zh一I一j一egou法人治理结构(structure of legal personadministration)在公司制企业中，由国家法律、行政法规和依法制订的公司章程所规定的，能够以法人名义进行民事活动的组织机构。法人治理结构在不同的法律体系和不同国情的国家中有所不同，但一般都由股东会、蓝事会、监事会(在国外，有些是蓝事会领导下的审计委员会)、经理等组成.法人治理结构是公司制企业的核心，它规定了权力机构、决策机构、执行机构和监份机构的设立、运作和相互关系，使公司制企业形成规范有序的各负其贵、协调运转、有效制衡的机制。为了建立适合中国国情的社会主义市场经济并与世界经济接轨，中国在1994年开始施行《公司法》，1999年又对《公司法》进行了修订.在修订后的《公司法》中，对法人治理结构做出了明确的规定。在中国电力企业中，凡按《公司法》规定成立或改制并按《公司法》注册登记的有限贵任公司或股份有限公司，均依法建立了法人治理结构。 股东会又称股东大会，是由全体股东组成的非常设的公司权力机构，由其来决定公司的一切重大事宜。 股东会的职权主要有:①决定公司的经营方针和投资计划;②选举和更换盆事，决定有关蓝事的报酬事项，③选举和更换由股东代表出任的监事，决定有关监事的报酬事项;④审议批准蓝事会的报告.⑤审议批准监事会或者监事的报告;⑥审议批准公司的年度财务预算方案、决算方案;⑦审议批准公司的利润分配方案和弥补亏损方案，⑧对公司增加或者减少注册资本做出决议，⑨对发行公司债券做出决议;⑩对有限责任公司的股东向股东以外的人转让出资做出决议;⑩对公司合并、分立、变更公司形式、解徽和清算等事项做出决议.0修改公司章程. 股东会的形式是股东会议，分为定期会议和临时会议。定期会议又称股东常会，按照公司章程的规定按时召开，通常是每年至少召开一次，临时会议又称特别会议，是在特别必要时由代表1/4以上有表决权的股东、1/3以上蓝事或者监享提议，可以临时召开。 股东会议由t事会召集，蓝事长主持。蓝事长因特殊原因不能艘行职务时，由t事长指定的副蓝事长或者其他萤李主持。有限责任公司、股份有限公司召开股东会会议前，必须按照《公司法》规定的提前日期，将股东会议的审议事项通知各股东。 股东的决策权是通过行使表决权来实现的。有限责任公司的股东依其出资比例享有表决权;股份有限公司的股东所持每一份普通股有一表决权。
