【对境外投资的外汇管理】境外投资是指在中国境内登记注册的公司、企业或者其它经济组织(不包括外商投资企业)在境外设立各类企业或者购股、参股(以下统称境外投资企业)，从事生产经营活动。目前，中国在境外的投资形势主要有:国际合资经营企业、国际合作经营企业、独资经营企业、国际合作开发、购股、参股六种。1989年3月6日，经国务院批准，国家外汇管理局颁布了《境外投资外汇管理办法》。其主要内容是:(l)规定了境外投资的外汇来源，由外管局负责审查。目前境外投资的外汇，限于投资者自有留成外汇或上级主管部门拨给的外汇，原则上不得用借贷外汇、调剂外汇和国拨外汇进行境外投资。(2)规定境外投资机构必须向外管部门提供东道国的外汇管理和政治、法律、经济等方面的资料，外汇管理部门负责对外汇风险的审查。(3)规定境外投资机构必须在会计年度终了后6个月，调回应得的利润和其它收益。(4)境外投资机构在向外管部门办理登记和投资外汇资金汇出手续时，需携带国家主管部门的批准文件、外管部门关于投资外汇风险审查和外汇资金来源审查的书面结论以及投资项目的合同或其它可证明境内投资机构应汇出外汇资金数额的文件。(5)境外投资企业的借款、担保、股本变更、转让和停办的外汇都有相应规定。境外投资企业就地筹措资金、自主对外担保，境内企业未经批准不得为境外投资企业进行担保。股本变更、转让应事先报外管部门批准和备案。停业应将外汇资金调回境内，境内投资者应将清算后的资产负债表、财产目录、财产估价等资料报送国家外管部门备案。(6)境内投资者在委托他人进行境外投资时，须报经国家外管部门和其主管部门批准同意，并向外管部门报送委托书和受托者所在地律师事务所出具的受托人资信证书。资金汇出后，还要按期报送受托人使用资金情况、经营情况、利润回收状况和财务状况等材料。(7)在举办境外投资企业时，如果投资项目是由多个投资者举办的，这些投资者在同一辖区时，由出资较多的一方向所在地的外管部门全权办理有关手续;如果这些投资者属于不同的辖区，则要由投资者协商的一方向所在地的外管部门办理外汇投资风险审查，并由外管部门将审查结果抄送其它投资者所在地的外管部门，但外汇资金来源审查及资金汇出等事项，则要由各个投资者到当地的外管部门分头办理。
