区际法律冲突是一国内部不同地区的法律制度之间的冲突。解决区际法律冲突的法律制度为区际私法(privat interregional law)。区际法律冲突多见于联邦制国家或复合法域的国家,如美国、加拿大和英国。这些国家内部有多个具有独立法律制度的行政区域，因而在其国内，常有不同法域之间的法律冲突（即区际法律冲突）需要解决。
例如，美国是个联邦国家，它的各州都保留有相对独立的私法立法权，因而在美国每个州都有自己的私法或民法，各州之间的法律冲突很早就有，所以美国的国际私法正是在解决这种每时每刻都在发生的州际法律冲突的基础上发展、完备起来的。
不仅联邦制国家会发生区际法律冲突，存在着复合法域的单一制国家也会发生区际法律冲突。比如中国虽是单一制国家，但根据中英、中葡两国政府关于香港、澳门问题的联合声明，中国已分别于1997年7月1日和1999年12月20日对香港和澳门恢复行使主权，并允许港、澳自中国政府恢复行使主权之日起50年内原有的法律基本不变。同时，台湾地区也是中国领土的一部分。这就意味着，中国内地、香港地区、澳门地区和台湾地区各自构成独立的法域，施行不同的民法，区际法律冲突也随之而来，也需要区际私法来调整。
