In this paper,we do hypotheses testes with regression models to examine the relationship between firm performance combination(combination of "good news" and "bad news"),performance difference and timing of first quarter reports precontract disclosure and to probe into information of first quarter reports precontract disclosure time on the data of Chinese listed companies.

文章以深交所上市公司2003年年报披露为样本,分析了预约披露执行情况与公司业绩、审计意见等因素之间的经验关系,并通过回归分析得出结论:盈利水平越差的公司,越倾向于变更预约披露时间;上市公司年报越被出具非标准审计意见,越容易变更预约披露时间滞后披露。

公开发行股票公司信息披露的规范。为进一步规范公司信息披露的内容与格式，从1993年6月起，中国证券监督管理委员会根据《股票发行与交易管理暂行条例》与《公开发行股票公司信息披露的内容与格式准则》。该准则分号颁发，分别规定招股说明书、年度报告、中期报告、配股说明书、公司股份变动等的内容与格式。这些准则，不仅是公司信息披露的具体内容与格式的规范，也是注册会计师鉴证和审查公司披露信息的工作指南。截止1994年底，已颁布了6号准则，它们分别是：第1号：招股说明书的内容与格式（试行）；第2号：年度报告的内容与格式（试行）；第3号：中期报告的内容与格式（试行）；第4号：配股说明书的内容与格式（试行）；第5号：公司股份变动报告的内容与格式（试行）；第6号：包括两部分，第一部分：法律意见书和律师工作报告的内容与格式（试行）；第二部分：上市公司配股法律意见书的内容与格式（试行）。
