企业资产评估是指通过对资产某一时点的价值的估算，从而确定其价值的经济活动。具体的说，资产评估是指由专门机构和人员，依据国家规定和有关资料，根据特定的目的，遵循适当的原则，选择适当的价值类型，按照法定的程序，运用科学的方法，对资产价值进行评定和估算的过程。我国在总结资产评估实践经验基础上，借鉴国际惯例，主要包括重置成本法、现行市价法、收益现值法和清算价格法四种方法。
企业资产评估具有以下特点：
1.现实性。现实性是指以评估基准期为时间参照，按这一时点的资产实际状况对资产进行的评定估算。
2.市场性。资产评估是来源于市场、服务于市场的活动。
3.预测性。资产评估的预测性是指用资产的未来时空的潜能说明现实。
4.公正性。资产评估的公正性是指资产评估行为对于评估当事人具有独立性，它服务于资产评估业务的需要，而不是服务于相互矛盾的资产评估业务当事人的任何一方的需要。
5.咨询性。资产评估的咨询性是指资产评估结论是为资产业务提供的专业化估价意见，这个意见本身并无强制执行的效力，评估者只对结论本身合乎职业规范要求负责。
