　　拨定留存收益是美国会计中的名词，目的在于限定可供股东分配的利润的数额，而无须拨出一部分资产以指定用途。拨定留存收益最终要分文不少地转回留存收益。董事会拨定留存收益一般出于3种考虑：一是满足法律要求。美国有些州的法律规定，当公司收购库藏股时，应当对留存收益进行限制，公司通常按照等于库茂股成本的金额拨定留存收益；二是满足合同协议的要求。当公司的发行长期债券时，为了能使公司有足够的资产清偿债务，债券协议要求公司定期拨定留存收益；三是董事会自愿的行为。如为扩充经营规模或以防未来亏损（以丰补欠），后者常称为自我保险政策，如未来自然灾害可能造成的损失，自我保险或由于保险公司不愿承保，或公司认为保费太高。

　　拨定留存收益与我国的法定盈余公积不同的是，法定盈余公积非经法定程序不能转回，拨定留存收益即便是法定要求合同要求，也可在法定的条件消失时转回，如清偿债券、重新发行库藏股。
