委托—代理模式在西方股份公司中，出资人(股东)委托董事会对代理人(经理)予以监督和约束，使之不违反股东的利润最大化目标。而经理和工人之间也存在委托---代理关系，这里经理变为委托人，工人是代理人，经理的经营意图要通过工人的劳动努力来贯彻，作为委托人，经理要防范工人的“偷懒”行为。而我国行政型国有资产委托---代理模式是指传统计划经济条件下国有资产的经营体制，即全体人民是委托人，将国有资产通过政府机关层层委托给企业。
西方股份公司的委托---代理模式与中国传统的行政型代理模式之间有明显差异，西方股份公司的委托---代理关系中，委托人与代理人之间是一种平等的交易关系，委托人可以在不同的代理人之间进行选择，代理人也可以从不同的委托人中进行选择，双方都可以退出，退出权成为代理效率的有效约束。另外，西方股份公司的委托---代理对代理人的约束、激励是通过市场机制实现的，委托人对代理人的监督和约束，可通过投票机制来实现，激励机制则通过明晰产权、合理分割剩余索取权来实现。而行政型国有资产的委托---代理对代理人的约束、激励主要是通过行政机制来实现的，每一级代理人追求的多是个人政治的升迁，而委托人对代理人的激励与约束则是通过内部化的、非市场化的行政性措施来实现的。
