【公司债券的定义及特征]公司债券，又称企业债券，是指股份公司向公众发行的，以筹集长期资金为目的的债券，是公司证券的一种。公司债券是企业筹资解决长期性资金短缺的一种直接融资工具，公司债券的认购者不得是企业的所有者成员。债券持有人有权按期取得利息，收回本金，但无权参与企业的经营管理。债券可以转让、继承，也可以作为向银行贷款的抵押品。 公司债券的特征是: 1.风险性较大。公司债券的还款来源是公司的经营利润。如果公司经营不善，就会使投资者面临利息甚至是本金损失的风险。 2.收益率较高。投资于公司债券要承担较高的风险，其收益率也较高。 3.债券持有者比股票持有者有优先索取利息和优先要求补偿的要求。公司债券的持有者只是公司的债权人，不是股东，因而无权参与公司的经营管理。但是公司债券持有者比股东有优先的收益分配权，并且在公司破产清理资产时，有比股东优先收回本金的权利。 4，对于部分公司债券来说，发行者与持有者之间可以互相给予一定的选择权。如在可转换债券中，发行者给予持有者将债券兑换成本公司股票的选择权;在可提前赎回的公司债券中，持有者给予发行者在到期日前提前偿还本金的选择权。获得这种选择权的当事人必须向对方支付一定的费用。
