制度创新过程由戴维斯和诺尔斯提出。该过程由五个步骤组成:第一步，形成第一行动集团，即预见到潜在利益，并认识到只要进行制度创新就可以得到这种潜在利益的决策者;第二步，第一行动集团提出制度创新方案，如果还没有可行的现成方案，那就需要等待制度方面的新发明;第三步，在有了若干可供选择的制度创新方案之后，第一行动集团按照利益最大化原则进行比较和选择;第四步，形成第二行动集团，即在制度创新过程中帮助第一行动集团获得利益的单位，它能促使第一行动集团提出的制度创新方案得以实现;第五步，第一行动集团和第二行动集团共同努力，实现制度创新。例如，工厂对周围环境有污染，附近居民受到损失，他们认识到如果进行诸如建立环境保护制的制度创折，将会使自己免受损失。于是，他们便形成第一行动集团，通过其在议会中的代表进行斗争。当议会通过了禁止工厂污染环境的立去，并成立防止和监督污染的第二行动集团—管理机构时，环境保护这一制度创新得以实现。在制度创新中，个人、合作团体、政府均可做“第一行动集团”，并以政府机构实行的制度创新最具有优越性。
