代销——
代销是指证券公司或承销商代发行人发售证券，在发行期结束后，将未售出的证券全部退还给发行人的承销方式。在代销方式下，在承销协议规定的承销期结束后，如果投资者实际认购总额低于发行人的预定发行总额，承销商（承销团）将未出售的股票全部退还给发行人。采用代销方式时，股票发行风险由发行人自行承担。
