观测有随机误差，参量中有随机变量，也有非随机变量。观测方程用矩阵表示如下：
式中L是含n个观测值的列向量,N是含n个观测误差的列向量,Y是含r个随机参量的列向量。这些都是随机变量，式中它们代表一次取值。X是含m个非随机参量的列向量,A和B是已知的n×m阶和n×r阶的系数矩阵。设N与Y无关联,其协方差分别为;权阵，，又设Y的数学期望为,则拟合推估在差的二次齐式
条件下进行,以求X、Y、N的估值。从以上的模型可见，拟合推估比一般平差问题增加了随机参量的推估。
