接受在法律上称为“承诺”.指受盘人无条件地、完全同意发盘人在发盘中所提出的全部交易条件，并同意按这些条件订立合同的一种肯定表示。 发盘一经受盘人接受，交易即告达成，合同即告成立。按《联合国国际货物销售合同公约》的规定，一项有效接受必须具备以下几个条件:①接受必须由受盘人作业.其他人对发盘表示同意，不能构成有效接受，不具有法律效力②受盘人表示接受.需采取声明的方式，即以口头或书面的声明向发盘人明确表示出来。且接受的内容要与发盘的内容相致.只接受发盘中的部分内容.或对发盘条件提出实质性的修改或提出有条件的接受，均不能构成有效接受。④接受的通知要在发盘的有效期内送达发盘人才能生效。在接受生效时间问题上，英美法与大陆法存在着严重的分歧。英美法采用投邮生效的原则，即接受通知一经投邮或交给电报局发出，就立即生效。大陆法则采用到达生效原则，即接受通知必须送达受盘人时才能生效《联合国国际货物销售合同公约分对此问题基本上是采取大陆法的立场.即接受送达发盘人时生效此外.该公约还规定，如根据发盘或依照当事人业已确定的习惯做法或惯例，受盘人可以作出某种行为来表示接受，无须向发盘少、发出接受通知，在此情况下，接受则以受盘人采取某种行为时生效如果受盘人未在发盘规定的时限内接受，按各国法律的规定，这种逾期接受只能视作一个新的发盘。 逾期接受虽然原则卜大去法律效力，仁以联合国国际货物销售合同公约子却对这个间题作了比较灵活的解释和处理该公约规定，逾期接受一般无效，但在下列两种情况下，仍然有效。①如果发盘人毫不迟延地用口头或书面形式将该项逾期接受仍然有效的意见通知受盘人。②如果载有逾期接受的信件或其他书面文件表明，它是在传递正常、能及时送达发盘人的情况下寄发的，则该项逾期接受有效，除非发盘人毫不迟延地用口头或书面形式通知受盘人，认为他的发盘已经失效。
