    债务人或第三人以自己的财物作为履行债务的担保,当债务人到期不履行债务时,债权人有权就抵押财产的价金受偿。提供抵押财产的债务人或第三人称为抵押人,接受抵押财产的债权人称为抵押权人。抵押权人对抵押财产有优先受偿权。即如果抵押人还有其他债权人,当变卖抵押财产清偿债务时,抵押权人应先于其他债权人受偿,其他债权人就其余额受偿。如抵押财产有保险而灭失时,抵押权人可就保险赔偿优先受偿。这是抵押权的主要法律特征。
   抵押财产可以是动产,也可以是不动产。因抵押财产的担保作用在于它可以变卖受偿,所以作为担保的财务,不能是法律禁止流通或不得强制执行的财物。
   抵押权人的优先受偿权,可以对抗任何第三人及抵押人本人。如抵押财产因遗失、被盗或抵押人出卖而为他人占有时,抵押权人有向一切占有人追索的权利。抵押财产一般由抵押权人保管,但抵押权人没有使用抵押财产的权利,只有妥善保管的义务。如因过错造成抵押财产的损坏或灭失,应承担责任。有时为了充分使用抵押物或抵押权人不便保管等其他原因,法律或合同也可以规定抵押财产仍由抵押人保管。但如抵押财产有遭受变卖、扣押、灭失等可能时,抵押人有义务及时通知抵押权人。抵押权人对留在抵押人处的抵押财产有监督、检查的权利。抵押权一般必须以书面形式设定。各国法律关于抵押权的规定不同。有的国家除抵押权外,还有质权的规定。
   《中华人民共和国民法通则》第89条第2款规定了抵押权制度。最高人民法院《关于贯彻执行〈中华人民共和国民法通则〉若干问题的意见(试行)》中对抵押权作了比较详细的规定。国务院1990年5月19日发布的《中华人民共和国城镇国有土地使用权出让和转让暂行条例》中规定在国有土地使用权上可以设定抵押权。
