亚洲再保险公司根据《设立亚洲再保险公司的协定》（AgreementEstablishingtheAsianReinsuranceCorporation）成立。
公司的主要职能是作为一个专业再保险公司接受成员国分来的保险业务；为适应健全的保险技术的需要而投资；收集保险情报，为成员国保险市场服务。根据该协定，如果公司和任何前成员之间或在公司终止营业后公司和前成员之间发生异议，应通过仲裁的方式解决。该协定规定了有限责任原则，即“每个成员国的责任只限于该成员国所持有的股票的金额。”另外，协定还规定了其他方面的内容，如股票的认购，向公司办理的分保，财务规则，股票回收等等。每个成员国向公司办理分保业务的方法则由协定中的附约一规定；各成员国政府给予公司的豁免和特权则由协定中的附约二规定。
联合国亚太经社会的会员国或准会员国中的所有发展中国家都可以通过加入而成为公司的成员国。1979年3月29日中国政府批准加入，同年5月24日协定对中国生效。
