购销合同供方将产品出售给需方，需方接受产品并按规定支付价款的协议。购销合同是中国《经济合同法》所列9种合同的第1种，在经济合同中数量最多，是中国最主要、最普遍的一种合同。购销合同是个广义的概念，种类很多。按购销的产品性质可分为工矿产品购销合同和农副产品购销合同。按购销形式，工矿产品购销合同常见的有供应、采购(推销)、计划收购、国家定货、协作、调剂等合同;农副产品购销合同常见的有定购、预购、购销结合、议购议销等合同。购销合同的主要特征是:①购销合同的标的是物质客体，并在法律上为不禁止流通的有价物。②购销合同的目的在于实现财产所有权的转移。 当事人双方的权利和义务是:①需方的权利和义务。需方的主要权利是要求供方按照合同约定交付产品。主要义务是:按约定的时间、地点接受产品，接受时应进行验收;按期交付价款。需方对交付的产品，经过检验，认为符合合同约定并接受后，应按合同的约定期限和方式给付价款。②供方的权利和义务。供方的主要权利是按合同收取约定的价款。主要义务是:按照合同约定向需方交付产品;按照合同约定的时间、地点、方式把产品交付给需方，并且保证所交付的产品符合国家规定或双方约定的质量标准;对有缺陷的产品，应当向需方说明。
