股份制一种企业财产的组织形式或企业组织形式。典型的股份制是股份有限公司，它是现代西方企业组织制度的代表。 股份制或股份制企业与其他企业组织形式(如合伙、独资)相比，具有以下特征:①联合性。股份制企业在形式上是一种联合的经济组织形式，企业的资产是各个参股者或股东联合所有，他们都是企业的所有者。②证券性。股票的发行与买卖是股份制的突出标志。从发展过程来看，股份经济可分为初级形式和高级形式。初级形式主要是合股经营形式，不发行股票，而是按股金多少联合;高级形式发行股票，以股票的买卖为纽带，把不同的所有者联合起来，股票成为资本所有权的一种凭证，其背后是股东口③分离性。即企业的所有权与经营权相分离，这是股份制的显著特征。股份企业中为数众多的股东一般不从事企业的生产经营活动，而是由一个经理阶层专门担负这项任务在股份公司内部，由股东代表选举产生的董事会负责企业的大政方针由于占有足够多股份的股东才有资格参加股东大会，担任董事长或董事的往往是大股东，他们掌握着公司的决策权，而企业的经营管理大权则交由经理负责。④风险、投机性。股份制不仅有较大的风险性，而且有一定的投机性。股票的交易活动受国内国际政治、经济及社会各方面形势的制约，瞬息万变，使股票交易带有一定的投机性。 股份制企业大体可分为两类，即非股份公司和股份公司，其中最重要和最有代表性的是股份公司，而股份公司又可分为股份有限公司、股份两合公司、关联公司、控股公司、豁免公司、特许公司等等。其中股份有限公司是从非股份有限公司的基础上发展而来的，是西方国家的企业最高组织形式，是现代西方国家中规模最大的一类公司。绝大多数跨国公司都采用股份有限公司这一形式，它除了具有其他形式的股份公司的一般特点外，还有一个优点，即责任有限。一旦公司破产或解散后进行清算，公司债权人只能对公司的资产提出要求而无权直接向股东起诉，公司以本身的全部资产对公司债务负责，股东除股本之外的私人财产不在赔偿范围之内，这大大降低了私人投资者的风险，易于广泛筹集社会上的闲散资金。
