一个企业以发行股票、支付现金或其他代价取得一家或几家其他企业资产和负债的行为，又称“企业兼并”或“接管”。
从法律形式上讲，吸收合并可表现为“甲公司 乙公司=甲公司”，也就是经过合并，甲公司作为实施合并的企业仍具有法人地位，但乙公司作为被并企业已丧失法人地位，成为甲公司的一部分，即甲公司兼并了乙公司。合并时，如果甲公司采用现金或其他资产支付方式进行合并，乙公司的原所有者就被甲公司的经营管理，也无权享合并后甲公司实现的税后利润；但如果甲公司以发行股票的方式实施合并，则乙公司原所有者成为合并后甲公司的股东，可继续参与对合并后甲公司的管理，并分享其所实现的税后利润，但一般对合并后的甲公司无控制权。
