【浮动担保】19世纪英国法发展起来的一种物权担保制度，是企业以其现有的和将来取得的全部资产，为债权人的利益而设定的一种担保物权。浮动担保的标的物的范围很广，企业的机器、设备、原材料、库存、土地、应收款项、合同权利、专利权、商标权、商誉以及公司尚未催缴的股本等，都可以供作浮动担保的担保物。 浮动担保具有以下几个特点:(1)浮动担保的担保物是企业的全部资产，既包括现有的资产，也包括将来取得的资产;(2)债务人毋需把担保物的占有转移给债权人;(3)在设定浮动担保时，其担保物是不确定的。只有在债务人违约，或债务人公司发生停业清理或解散等事由时，才以公司当时拥有的全部财产特定为担保物;(4)在出现债务人违约或债务人公司停业、解散等事情以前，债务人可以在正常业务中处分已供担保之用的企业资产，而毋需担保权益人作出解除担保权益的表示。只有出现债务人违约等事情时，浮动担保的担保物就固定化了，债务人处分企业资产的权利即告终止。(5)由于浮动担保的担保物在固定化之前，债务人对该担保物享有自由处分权，因此，从债务人手中购买上述担保物的第三人，即使知道有浮动担保的存在，仍可取得完全的所有权，不受浮动担保的约束。由于各国法律对浮动担保的态度和规定不一样，浮动担保在上述特征的基础上，在各国的运用又各有其特点。
